此前一天的9月27日，美国媒体报道称，美国证券交易委员会（SEC）以欺诈为由，起诉特斯拉首席执行官（CEO）马斯克（Elon Musk），指控他在今年8月称已锁定资金，进行史上规模最大私有化交易时，误导了股东。这宗总对价高达720亿美元的交易，原本有望成为史上规模最大的私有化交易。

SEC要起诉马斯克的消息一出，特斯拉的股价就在盘后交易中下跌超过13%，花旗、巴克莱均下调了特斯拉评级至卖出，并大幅下调其目标价。

在今年的8月7日，马斯克曾在推特上表示：“我考虑将特斯拉以每股420美元的价格私有化。资金来源是有保障的。”

但SEC认为，马斯克8月的这条推特属于捏造事实。SEC调查指出，马斯克压根没有和任何潜在投资者讨论过包括价格在内的交易细节，因此不存在资金有保障一说。

彭博社在报道指出，马斯克可能会被禁止一段时间内或永久性地担任上市公司CEO或董事。如果美国司法部提起刑事诉讼，马斯克可能会面临牢狱之灾。

当地时间9月28日，福克斯商业新闻记者Gasparino在推特上发文称，SEC向马斯克提出了一项“限时禁令”，马斯克将暂时停任特斯拉CEO一职。Gasparino还表示，马斯克已经任命著名律师克里斯·克拉克（Chris Clark）为其辩护，称将与此案进行斗争。

不过，这一说法尚未获得官方证实。
