苏宁云商甩掉PPTV

11月2日消息，在10月30日苏宁云商公告称，拟以25.88亿元的价格将持有的PPTV 68.08%的股权转让至苏宁文化，苏宁文化系公司实际控制人张近东控制的企业。


接盘PPTV的苏宁文化全称为“苏宁文化投资管理有限公司”，注册资本为30亿元，成立日期为今年9月17日，目前尚未开展实质性业务，其实际控制人是张近东。在BAT各家都大打文化牌的背后，这大概是苏宁为布局而成的公司。

公告也披露了PPTV的业绩情况，PPTV曾在2013年10月被苏宁云商战略投资2.5亿美元。2015年1-9月，PPTV整体实现利润亏损7.05亿元。PPTV如此糟糕的业绩，已经严重影响到了母公司的财报成绩。其对公司归属于母公司股东的净利润影响达到了-4.8亿元。

今年9月10日，苏宁曾与阿里战略互投，该事项尚需取得中国证监会的核准。由于阿里巴巴注册于开曼群岛，若上述交易完成，苏宁的股份中将间接出现外资持股的情况。“为避免外商投资产业政策对PPTV后续业务发展可能造成的影响和限制，公司拟转让PPTV股权。”苏宁这么解释。

在收购PPTV的两年来，苏宁先为其打造了“视频购物”和“精准营销”等概念，效果并不理想。这家以体育直播出名的视频厂商对这些电商的概念并不感冒，并且在很长一段时间里，内部的管理层变更的动荡也导致其业务开展的步调难以协调。

据悉，PPTV目前虽然还值20多亿，但是因为上半年亏损严重如今已经成了烫手山芋。根据截至2015年6月30日的统计资料显示PPTV当时的负债总金额20.6亿元，但是总资产却只有14亿元左右，如果拔去总资产和2.58亿的应收账款，营业利润亏损额度达到了3.9亿多，已经明显的处于资不抵债的状态。

苏宁云商的这一左右手互换的动作，一方面表明当初投资的失败，另一方面也说明PPTV的地位更加尴尬和危急，苏宁云商不愿意被PPTV所拖累，亟需通过换手的方式将其从公司业务中剔除出去。苏宁相关负责人在接受界面新闻记者采访时称，在剥离PPTV之后，苏宁可以集中资源开展价格竞争，算上债务清偿，预计将为上市公司增加10亿元净利润。无论如何，PPTV“旁大款”的好日子已经结束了!
