法国泰雷兹拟以56亿美元收购SIM卡制造商金雅拓。据路透社消息称，法国泰雷兹(Thales)集团表示将以48亿欧元(约56亿美元)的价格收购荷兰着名SIM卡制造商金雅拓(Gemalto)，这一金额超过了不久之前另一家法国公司源讯(Atos)的收购要约报价。泰雷兹集团希望能够在快速增长的数字安全市场上进一步扩张自己的业务。

泰雷兹已经向金雅拓发起了收购要约，希望能够借助后者在SIM卡市场上的资源和影响力，在数字加密和生物识别等安全服务市场进一步扩大市场份额。


“这是一个了不起的项目，在数字领域，金雅拓和泰雷兹就像双胞胎一样具有重大的影响力。”泰雷兹首席执行官帕特里斯·凯恩（Patrice Caine）表示。


凯恩表示，泰雷兹总出资额为56亿欧元（约66亿美元），其中包括8亿欧元的债务。泰雷兹的收购报价为每股51欧元，总额58亿欧元，高于源讯每股46欧元的收购报价，后者的收购总额报价大约为43亿欧元。


不久之前，源讯表示金雅拓之前拒绝了自己的收购要约，并且公司不会再继续进行竞购。但如果泰雷兹与金雅拓的谈判破裂，那么源讯愿意与金雅拓继续谈判。


泰雷兹和金雅拓已经发表了一份联合声明，表示此次收购的报价得到了两家公司董事会的一致同意。收购协议规定泰雷兹旗下数字业务会与金雅拓合并，业务规模扩大到35亿欧元，在全球数字安全领域排名前三位。


法国政府是泰雷兹最大的股东，法国国家投资银行Bpifrance则是金雅拓的第二大股东。后者本周表示，两家公司的整合对各自在科技行业均有积极的影响。法国政府官员Emmanuel Macron也表示这些协议完全朝着正确的方向发展。


泰雷兹公司表示将通过提供部分现金和40亿欧元承诺信贷为这一出价提供融资。两家公司的数字安全业务到2021年会产生1亿到1.5亿欧元的税前成本协同效应，并带来相当可观的收入。


该交易预计在2018年下半年达成，在交易完成后的第一年将产生非常积极的协同效应，每股收益会达到15到20个百分点。但金雅拓工会代表Brice Barrier表示，这一收购声明并未提及公司已经陷入困境的芯片卡业务，他呼吁金雅拓放弃之前一项在法国本土裁员288人的计划。
